BLUEBONNET MEMBERS RECEIVE PROXY FORTIN FORMS FOR 2015 MEETING

Proxy voting forms were recently mailed to all Bluebonnet Electric Cooperative members. The forms enable members who do not plan to or cannot attend Bluebonnet’s 2015 Annual Meeting to participate in the co-op’s election by designating another person or the co-op’s proxy committee to vote on their behalf.

Bluebonnet’s Annual Meeting is Tuesday, May 12, 2015, at the Sons of Hermann Hall in Giddings.

The three incumbent directors up for re-election this year, Richard Schmidt, District 1; Suanna Tumlinson, District 2; and James Kershaw, District 3; were unopposed. Therefore, they were elected by general consent in accordance with Bluebonnet’s bylaws. However, even though members will not vote for directors this year, items could be added to the Annual Meeting agenda that would require a vote by members.

Bluebonnet’s bylaws allow items to be placed on the Annual Meeting agenda no later than 10 days before the meeting. Members’ proxies would be used in that vote.

“One of the benefits of being a Bluebonnet member and owner is the ability to vote during our Annual Meeting on matters that could significantly impact their co-op,” said Mark Rose, Bluebonnet’s general manager. “Even though we won’t vote for directors, it’s vitally important that members exercise their right to vote. I encourage members who can’t attend the Annual Meeting to complete and return their proxy form so their votes can be counted.”

Proxies were mailed in March. Members who vote by proxy have two options. They can either assign their proxy to another person who will attend the Annual Meeting in their stead by filling in his or her name on the proxy form, or they can check the box on the form assigning their proxy to the co-op’s proxy committee, which is comprised of the eight directors not up for election this year.

Completed proxies may be hand-delivered to any of Bluebonnet’s five member service centers in Bastrop, Brenham, Giddings, Lockhart or Manor by 5:30 p.m. May 5, 2015. Completed proxies can also be mailed to Election Services Corporation, the third-party vendor who administers Bluebonnet’s election. Proxies returned by mail must be postmarked by May 5, 2015.
